1. Acceptance of Terms

By accessing or using the Optix AI platform (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Optix AI ("we", "us", or "our").

2. Eligibility

You must be at least 18 years of age and capable of entering into a legally binding agreement to use the Service. By using the Service you represent and warrant that you meet these requirements.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately if you suspect unauthorised access to your account.
• You may not share your account or transfer it to another person.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Attempt to gain unauthorised access to any part of the Service or its infrastructure;
• Reverse-engineer, decompile, or disassemble any part of the Service;
• Scrape, crawl, or extract data from the Service by automated means without our written permission;
• Upload or transmit malicious code, viruses, or any content that could harm the Service or other users;
• Use the Service to engage in market manipulation or any activity that violates applicable securities laws.

5. No Financial Advice

The Service provides tools for journalling, tracking, and analysing your own trade data. Nothing in the Service constitutes financial, investment, tax, or legal advice. Specifically:

• AI-generated analysis and responses from the Trade Analyst feature are for informational purposes only and should not be relied upon as the basis for any trading or investment decision;
• P&L figures, Greeks, payoff diagrams, and analytics are calculated from data you provide and may contain errors or inaccuracies;
• Any reference to specific strategies, returns, or outcomes is illustrative only and does not represent a guarantee or prediction of future performance;
• We are not a registered investment adviser, broker-dealer, or financial planner in any jurisdiction.

You bear sole responsibility for all trading and investment decisions you make.

6. Subscription & Payments

• The Free tier is available at no cost subject to usage limits set out on the pricing page.
• Paid plans are billed monthly in advance. All fees are non-refundable except where required by law.
• We reserve the right to change pricing with at least 30 days' notice to existing subscribers.
• You may cancel your subscription at any time; access continues until the end of the current billing period.
• We reserve the right to suspend or terminate accounts that are overdue or in breach of these Terms.

7. Intellectual Property

All content, software, design, and trade marks in the Service are owned by or licensed to Optix AI and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

You retain ownership of the trade data and journal entries you submit to the Service. By submitting content, you grant us a limited, worldwide, royalty-free licence to store, process, and display that content solely to provide the Service to you.

8. Third-Party Services

The Service integrates with third-party services including Supabase (authentication and database) and one or more AI inference providers (which may include Anthropic, Microsoft Azure, OpenAI, or Google). Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure;
• Any P&L calculations, Greeks, or analytics are accurate or complete;
• AI-generated content is accurate, reliable, or suitable for any purpose;
• The Service will meet your specific requirements.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OPTIX AI AND ITS DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Trading losses or missed profits arising from reliance on any information in the Service;
• Loss of data or inability to access your account;
• Errors or inaccuracies in P&L calculations, analytics, or AI responses;
• Any other indirect or consequential loss.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) AUD $100.

11. Indemnification

You agree to indemnify, defend, and hold harmless Optix AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any applicable law.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately. Sections 5, 9, 10, 11, and 13 survive termination.

13. Governing Law

These Terms are governed by the laws of Australia. You agree to submit to the exclusive jurisdiction of the courts of Australia for any dispute arising out of or relating to these Terms or the Service.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before the change takes effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
